Welcome to ToWebForm. These Terms of Service ("Terms") govern your access to and use of the ToWebForm website, services, and applications (collectively, the"Service") provided by Foresight Technologies LLC ("we,""us," or"our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.

2. Use of the Service

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To impersonate or attempt to impersonate Foresight Technologies LLC, our employees, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.

2.1 Commercial Use & Restricted Entities

The standard, self-service tiers of the Service are intended strictly for commercial and standard B2B business operations. Government entities, public agencies, municipal bodies, and heavily regulated public utilities are strictly prohibited from utilizing the self-service tiers of the platform for public-facing document workflows without executing a separate, written Enterprise Service Agreement with Foresight Technologies LLC. Users may not upload, process, or transmit data that requires specialized governmental compliance frameworks (e.g., FedRAMP, StateRAMP, ITAR) without explicit written authorization from us.

3. Account Registration

To access certain features of the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. User Content and AI-Generated Output

Our Service allows you to upload, convert, and process PDF documents ("User Content"). You retain all of your ownership rights in your User Content. By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process the User Content solely for the purpose of providing and operating the Service.

We process your documents securely and do not use your confidential data to train our AI models. Processed documents are deleted from our servers as outlined in our Privacy Policy.

4.1 SMS Communications & Consent

If you utilize our Service to send SMS or text messages to your clients or any third party, you act as the sole sender of such messages. You represent and warrant that you have obtained all necessary, express, and legally valid consents from the recipients to receive such SMS communications before triggering them through our platform. You bear 100% of the legal responsibility and liability for compliance with the Telephone Consumer Protection Act (TCPA) and all other applicable telecommunications laws.

4.2 SMS Communications

When utilizing our SMS features, please note:

• Users can cancel the SMS service at any time by texting "STOP". Upon sending "STOP," we will send one confirmation message and cease all further messages.
• Users can text "HELP" for customer support instructions.
• Message and data rates may apply, and message frequency varies.
• Carriers are not liable for delayed or undelivered messages.

5. Subscription and Billing

Certain aspects of the Service may be provided for a fee. If you elect to use paid features of the Service, you agree to the pricing and payment terms presented to you at the time of purchase. Subscriptions will automatically renew unless cancelled prior to the end of the current billing period.

5.1 SMS Credits, Deduction, and Refunds

If your plan includes a monthly SMS limit, those credits refresh at the start of each billing cycle and do not roll over. One-off SMS top-up purchases are retained and remain valid for 12 months from the date of purchase.

One SMS credit is deducted from your balance at the time a message is sent. If the message is reported as failed by our SMS provider (for example, due to an invalid phone number or an account-level sending error), the credit is automatically returned to your balance. If the message is reported as undelivered (meaning the message left our systems but the recipient's carrier was unable to deliver it to the handset), the credit is not refunded, as delivery was attempted.

All SMS top-up credit purchases are final and non-refundable. SMS credits are tied to the organization that purchased them and cannot be transferred. If you cancel your subscription or downgrade to a plan that does not include SMS, your purchased credits are retained until their expiration date but cannot be used until you reactivate a qualifying plan.

5.2 Storage Limits, Overages, and Submissions

ToWebForm does not impose arbitrary "per-submission" fees or hard caps on the number of submissions you can receive. Instead, plans are constrained by storage capacity.

Each plan includes a base storage limit. If your account reaches its storage limit, all active webforms will be automatically blocked from accepting new submissions until space is freed or storage is increased.

If your plan supports it, you may opt-in to Storage Overages in your billing settings. When enabled, your storage capacity will automatically expand in 100 GB blocks if you exceed your base limit, to prevent your forms from being blocked. Each 100 GB overage block is billed as a recurring $10.00/mo add-on. Overage blocks are automatically removed from your billing at the start of your next billing cycle if you delete files and your usage drops back below the threshold.

6. Accessibility and AI Disclaimer

The Service is provided on an"AS IS" and"AS AVAILABLE" basis, without any warranties of any kind, either express or implied. Foresight Technologies LLC disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Foresight Technologies LLC provides an automated, AI-driven platform designed to assist users in creating webforms that align with general accessibility frameworks (such as WCAG 2.1). However, because artificial intelligence is probabilistic and web standards evolve, we do not guarantee, warrant, or represent that any form generated by the Service is 100% compliant with the Americans with Disabilities Act (ADA), Title II, Title III, or any other local, state, federal, or international accessibility laws.

The Service is an accelerator tool, not a substitute for professional legal or accessibility audits. The User retains sole, absolute responsibility for manually reviewing, testing, and verifying the compliance of all generated outputs before making them available to the public or any third party.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Foresight Technologies LLC, its founders, officers, or employees be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or in connection with the use of the Service. This includes, without limitation, any financial losses, regulatory fines, or legal fees resulting from a third-party claim that a form generated by the platform fails to meet statutory accessibility requirements.

In no event shall the total aggregate liability of Foresight Technologies LLC for all claims under this agreement exceed the total amount actually paid by the user to the company during the three (3) month period immediately preceding the event giving rise to such liability, or one hundred dollars ($100), whichever is greater.

8. User Indemnification

You agree to defend, indemnify, and hold harmless Foresight Technologies LLC and its officers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) any third-party claims or lawsuits alleging that a webform published by you violates statutory accessibility laws or causes data security non-compliance; or (iv) any claim, lawsuit, or regulatory action alleging that SMS communications triggered by you through our Service violated the TCPA, lacked proper consent, or violated any applicable law.

9. Termination

We reserve the right to suspend or terminate your account and your access to the Service, at our sole discretion, without notice or liability, for any reason whatsoever, including without limitation if you breach these Terms (including the Commercial Use restrictions) or if we are required to do so to comply with legal or regulatory obligations.

9.1 Data Retention & Deletion

When a subscription is canceled, the organization is downgraded to our free tier. Data is retained indefinitely on the free tier unless capacity limits are exceeded, at which point webforms will be blocked from accepting new submissions.

However, to protect user privacy and minimize data liability, ToWebForm enforces an automated 90-day data deletion policy for canceled accounts. Exactly 90 days after the date of cancellation, all forms, submissions, and PDF records associated with your organization will be permanently and irrevocably destroyed. You will receive a final warning email 30 days prior to this purge. If you wish to prevent this deletion, you must export your data prior to the 90-day mark or reactivate your paid subscription.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
