Terms of Service

Welcome to ToWebForm. These Terms of Service ("Terms") govern your access to and use of the ToWebForm website, services, and applications (collectively, the "Service") provided by Foresight Technologies LLC ("we," "us," or "our").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, our AI Policy, and, where you process End-User personal data, our Data Processing Addendum. If you disagree with any part of these Terms, you may not access or use the Service.
2. Use of the Service
You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- To impersonate or attempt to impersonate Foresight Technologies LLC, our employees, another user, or any other person or entity, or to forge electronic signature records.
- To bypass automated anti-abuse rate limits, or to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.
2.1 Commercial Use and Restricted Entities
The standard, self-service tiers of the Service are intended strictly for commercial and standard B2B business operations. Government entities, public agencies, municipal bodies, and heavily regulated public utilities are strictly prohibited from utilizing the self-service tiers of the platform for public-facing document workflows without executing a separate, written Enterprise Service Agreement with Foresight Technologies LLC. Users may not upload, process, or transmit data that requires specialized governmental compliance frameworks (e.g., FedRAMP, StateRAMP, ITAR) without explicit written authorization from us.
3. Account Registration and Workspace Access
To access certain features of the Service, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials, managing role-based access control (Owner, Admin, and Member permissions) within your organization, and overseeing all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. User Content and Data Processing
Our Service allows you to upload, convert, translate, route for signature, and store PDF documents, external signed contracts, and respondent submissions ("User Content"). You retain all ownership rights in your User Content. By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, encrypt, reproduce, modify, and process the User Content solely for the purpose of providing and operating the Service on your behalf.
We encrypt sensitive respondent payloads and attachments at rest using application-layer AES-256-GCM encryption and never use your confidential documents or submissions to train AI models, as detailed in our Privacy Policy and AI Policy.
4.1 SMS Communications and TCPA Consent
If you utilize our Service to send SMS or text messages (including form invitations, sequential signing links, or OTP verification codes) to your clients or any third party, you act as the sole sender of such messages. You represent and warrant that you have obtained all necessary, express, and legally valid consents from the recipients to receive such SMS communications before triggering them through our platform. You bear 100% of the legal responsibility and liability for compliance with the Telephone Consumer Protection Act (TCPA) and all other applicable telecommunications laws.
4.2 Standard SMS Terms
When utilizing our SMS features, please note:
- Recipients can cancel SMS messages at any time by texting "STOP". Upon sending "STOP," we will send one confirmation message and cease all further messages to that number.
- Recipients can text "HELP" for customer support instructions.
- Message and data rates may apply, and message frequency varies.
- Carriers are not liable for delayed or undelivered messages.
5. Subscription, Billing, and Plan Entitlements
Certain aspects of the Service are provided for a fee. If you elect to use paid features of the Service, you agree to the pricing and payment terms presented to you at the time of checkout. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.
5.1 SMS Credits, Deduction, and Refunds
If your plan includes a monthly SMS allowance, those credits refresh at the start of each billing cycle and do not roll over. One-off SMS top-up purchases are retained and remain valid for 12 months from the date of purchase.
One SMS credit is deducted from your balance at the time a message is sent. If the message is reported as failed by our SMS provider (for example, due to an invalid phone number or an account-level sending error), the credit is automatically returned to your balance. If the message is reported as undelivered (meaning the message left our systems but the recipient's carrier was unable to deliver it to the handset), the credit is not refunded, as delivery was attempted.
All SMS top-up credit purchases are final and non-refundable. SMS credits are tied to the organization that purchased them and cannot be transferred. If you cancel your subscription or downgrade to a plan that does not include SMS, your purchased credits are retained until their expiration date but cannot be used until you reactivate a qualifying plan.
5.2 Unlimited Submissions, Storage Limits, and Optional Feature Entitlements
Unlimited Standard Submissions:ToWebForm does not impose arbitrary per-submission fees, per-envelope charges, or monthly caps on the number of standard form submissions your organization can receive. Standard submissions are unlimited across all plans and are constrained only by your workspace's encrypted storage capacity and automated anti-bot rate limits.
Encrypted Storage Limits and Overages: Each plan includes a base encrypted storage allowance measured across uploaded source PDFs, generated submission PDFs, and staff note attachments. If your account exceeds its storage limit (and any applicable grace buffer), active web forms will be paused from accepting new submissions until space is freed or your plan is upgraded. If your plan supports Storage Overages and you opt in, your storage capacity expands automatically in 100 GB blocks ($10.00/mo per block) when you exceed your base allowance, and automatically scales back down at the start of your next billing cycle if you delete files and return below the threshold.
Optional Feature Allowances and Graceful Fallback: Subscription tiers may include specific entitlements for optional value-added features, including active Workspace Language Slots (subject to a 24-hour cooldown when swapping or removing an allocated language slot), monthly AI Translated Submissions, and monthly Smart Address Autocomplete lookups. Specific feature allowances are governed by your active plan configuration at the time of service and are subject to change. If your organization reaches a monthly allowance for AI Translated Submissions or Smart Address Autocomplete lookups during a billing cycle, your forms remain active and continue accepting unlimited standard submissions (automatically displaying in your primary workspace language or reverting address fields to standard manual text entry until the next billing cycle or plan upgrade).
5.3 Promotional & "Founding Member" Discounts
From time to time, ToWebForm (operated by Foresight Technologies LLC) may offer promotional pricing, including the 'Founding Member 20% Off for Life' promotion. By subscribing under a promotional rate, you agree to the following conditions:
- Eligibility & Cap: The Founding Member promotion is limited to the first 100 organizations that complete a paid subscription checkout while the promotion is active. Creating a Free tier account does not reserve or lock in a promotional spot.
- Definition of 'For Life':'20% off for life' refers to the lifetime of your continuous, uninterrupted paid subscription. As long as your paid subscription remains active and in good billing standing, including if you upgrade or downgrade between paid tiers (Starter, Pro, or Team) or resume a pending cancellation prior to the end of your current billing period, the 20% discount will continue to apply.
- Scope & Exclusions: Unless otherwise configured at checkout, promotional percentage discounts apply to recurring monthly subscription fees and do not apply to one-time, usage-based purchases such as SMS Top-Up Packs.
- Forfeiture Upon Cancellation or Lapse: If your paid subscription is canceled and reaches the end of its billing cycle without renewal, is downgraded to the Free plan, or is terminated due to failed payment after standard retry attempts, the Founding Member promotional discount permanently expires and will not apply to future subscriptions.
- Non-Transferable & Modifications: Promotional discounts are tied to the subscribing organization, have no cash value, cannot be combined with other promotional codes, and may be modified or discontinued for new subscribers at any time.
6. Electronic Signatures, Multi-Party Routing, and Smart Packets
ToWebForm provides technical electronic signature infrastructure, including affirmative consent capture, sequential multi-party signing workflows (/sign/[token]), bundled multi-form Smart Packets (/p/[packet_public_id]), optional email and SMS One-Time Passcode (OTP) verification, sequential SHA-256 document hash chaining, and PKCS#7 / X.509 cryptographic PDF sealing, designed to support compliance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
Foresight Technologies LLC is a software provider and is not a party to any agreement executed through the Service. You are solely responsible for determining whether an electronic signature is legally valid, admissible, and enforceable for your specific document, counterparty, industry, and jurisdiction. Certain categories of documents (such as wills, codicils, testamentary trusts, family law decrees, certain real estate deeds, court filings, or documents requiring physical wet-ink notarization) may be excluded from electronic signature statutes under applicable state, federal, or international law.
7. Accessibility, AI Intelligence, and Translation Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. Foresight Technologies LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy of automated outputs, and non-infringement.
7.2 AI Contract Overviews and Metadata Extraction (Not Legal Advice)
Foresight Technologies LLC is not a law firm and does not provide legal advice. AI-generated Submission and Contract Executive Overviews, verbatim clause citations, suggested contract monetary values, effective and expiration dates, renewal notice windows, and deliverable checklists (whether generated from ToWebForm submissions or extracted via OCR from uploaded external contracts) are automated productivity aids only. AI outputs do not constitute legal advice and are not a substitute for review by qualified legal counsel. You are solely responsible for verifying all contract dates, monetary figures, renewal deadlines, and legal obligations against the underlying executed PDF document before relying on automated renewal reminders or portfolio metrics.
7.3 AI Multilingual Form and Answer Translations (Not Certified Human Translation)
Automated translations of form labels, instructions, and options, as well as bidirectional translations of open-ended respondent answers back into your PDF's primary language, are machine-generated conveniences and are not certified human, medical, or court-certified translations. Machine translation may not capture nuanced legal, clinical, or regulatory terminology in every context. In the event of any discrepancy between a machine-translated string and the original text, the original source-language PDF and the respondent's verbatim original-language response (preserved in the Bilingual Verification Log) shall govern. If your industry or jurisdiction requires certified human translation, you are solely responsible for having a qualified human translator review and lock the translated phrasing in the Form Translation Drawer before publishing.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Foresight Technologies LLC, its founders, officers, employees, or suppliers be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or in connection with the use of the Service. This includes, without limitation, any financial losses, missed contract renewal deadlines, regulatory fines, or legal fees resulting from: (i) a claim that a published form fails to meet statutory accessibility requirements; (ii) any inaccuracy or omission in AI-detected fields, machine translations, executive overviews, or extracted contract dates and values; or (iii) the unenforceability or rejection of an electronic signature in any jurisdiction.
In no event shall the total aggregate liability of Foresight Technologies LLC for all claims under these Terms exceed the total amount actually paid by you to Foresight Technologies LLC during the three (3) month period immediately preceding the event giving rise to such liability, or one hundred dollars ($100), whichever is greater.
9. User Indemnification
You agree to defend, indemnify, and hold harmless Foresight Technologies LLC and its officers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) any third-party claim or regulatory action alleging that a form, translation, or contract workflow published by you violates accessibility, consumer protection, electronic signature, or data privacy laws; or (iv) any claim, lawsuit, or regulatory action alleging that SMS or email communications triggered by you through our Service violated the TCPA, CAN-SPAM, lacked proper consent, or violated any applicable law.
10. Termination
We reserve the right to suspend or terminate your account and your access to the Service, at our sole discretion, without notice or liability, for any reason whatsoever, including without limitation if you breach these Terms (including the Commercial Use restrictions) or if we are required to do so to comply with legal or regulatory obligations.
10.1 Data Retention and Deletion
When a paid subscription is canceled, the organization is downgraded to our Free tier at the end of the current billing period. Data is retained on the Free tier unless storage capacity limits are exceeded, at which point active web forms will be paused from accepting new submissions.
We do not delete your data because your account is inactive or your paid plan has ended, so you can come back to old contracts and signed records. Data is deleted only when you delete it or ask us to close your account or organization in Settings. Thirty (30) days after a closure request, the organization's forms, submissions, contracts, and PDF records are permanently and irrevocably destroyed. Your subscription stops renewing when you make the request, you will receive a reminder email 5 days before the deletion date, and you can cancel the request at any time before then. Export any records you need before that date.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by updating the "Last updated" date at the top of this page. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised Terms.
